1. Acceptance of Terms
By accessing or using any services provided by Taatviq AI Private Limited ("Taatviq", "we", "our", or "us"), including but not limited to data storage, data handling, data analytics, machine learning, and artificial intelligence-based solutions (collectively, the "Services"), you ("you", "your", "Client", or "User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not access or use our Services.
2. Services
Taatviq AI Private Limited provides enterprise-level solutions including but not limited to:
(i) Secure and scalable Data Storage
(ii) Advanced Data Handling and processing
(iii) Custom and off-the-shelf Data Analytics
(iv) AI/ML Model Development, Deployment, and Optimization
(v) Consulting Services in AI, ML, and Data Strategy
(vi) All services may be subject to specific service-level agreements (SLAs) and project-specific scopes
mutually agreed upon in writing.
3. Eligibility
You must be of legal age to form a binding contract and authorized to act on behalf of the entity you represent.
By using our services, you confirm that:
(i) You are legally capable of entering into contracts.
(ii) You are authorized to share data and enter agreements on behalf of your organization.
4. Data Ownership & Rights
(i) Client Data: You retain full ownership of any data you provide to Taatviq AI.
We do not claim any ownership over your proprietary data.
(ii) Derivative Data and Models: Taatviq may use anonymized or aggregated data derived from client
inputs for internal improvement and benchmarking purposes, unless otherwise contractually restricted.
(iii) Data Licensing: Clients must ensure they have the right to share the data with Taatviq and that
doing so does not violate any data protection or intellectual property laws.
5. Data Storage & Security
Taatviq employs industry best practices for securing data including encryption, access controls,
and regular security audits. However:
(i) While we strive for robust protection, we do not guarantee absolute security.
(ii) You are responsible for maintaining the confidentiality of access credentials.
(iii) Clients may request on-premise or cloud-based data storage subject to mutually agreed terms.
6. Data Handling & Processing
Taatviq will handle your data strictly according to your instructions and applicable data protection
laws (including but not limited to GDPR, IT Act 2000 in India, etc.).
(i) Data will only be processed for agreed purposes.
(ii) We will not share client data with third parties without explicit consent unless legally required.
(iii) Data may be stored in geographically distributed servers, with clients notified of data residency
specifics when applicable.
7. Confidentiality
Both parties agree to maintain confidentiality of all sensitive or proprietary information exchanged
during the term of engagement. This includes:
(i) Trade secrets
(ii) Algorithms
(iii) Technical and business plans
(iv) Client-specific data and strategies
This obligation survives termination of the agreement.
8. Intellectual Property
Both parties agree to maintain confidentiality of all sensitive or proprietary information exchanged
during the term of engagement. This includes:
(i) Client IP: All intellectual property provided by the Client remains their property.
(ii) Taatviq IP: All proprietary tools, software, models, algorithms, and frameworks developed by
Taatviq remain our exclusive property unless otherwise agreed in writing.
(iii) Joint Developments: IP developed jointly will be governed by the terms of the project
contract or MOU.
9. Service Availability and SLA
While we strive for 99.9% uptime and responsiveness, services may be interrupted due to:
(i) Planned maintenance
(ii) Unforeseen technical issues
(iii) Force majeure events
(iv) SLAs (if any) will be detailed in your service agreement.
10. Payments and Billing
(i) All invoices are payable as per the agreed billing cycle.
(ii) Late payments may incur interest as per the terms outlined in the invoice or agreement.
(iii) Taatviq reserves the right to suspend or terminate services in the event of non-payment.
11. Termination
Either party may terminate the agreement with written notice:
(i) By Client: With a minimum of [30] days’ notice.
(ii) By Taatviq: For breach of terms, non-payment, or misuse of services.
Upon termination:
(i) Taatviq will return or delete all client data as instructed.
(ii) Any outstanding dues must be cleared immediately.
(iii) Certain sections including Confidentiality, IP, and Limitation of Liability will survive termination.
12. Warranties and Disclaimers
Services are provided "as-is" and "as-available". Taatviq disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our solutions will be error-free or that results will always meet your expectations.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
(i) Taatviq shall not be liable for indirect, incidental, special, punitive, or consequential damages.
(ii) Total liability for direct damages shall not exceed the total amount paid by the Client in the past
six months for the relevant services.
14. Compliance with Laws
Each party agrees to comply with all applicable laws and regulations including:
(i) Data Protection Laws (GDPR, CCPA, etc.)
(ii) Export Control Laws
(iii) IT Act 2000 (India)
(iv) Any local data residency or processing laws
15. Indemnification
You agree to indemnify and hold harmless Taatviq, its officers, directors, employees, and affiliates
from any claims or liabilities arising out of:
(i) Your misuse of our services
(ii) Violation of these Terms
(iii) Infringement of any third-party rights
16. Third-Party Tools and Services
Taatviq may use third-party software, APIs, or infrastructure. We do not control these services and are not responsible for their availability, reliability, or legality.
17. Amendments
Taatviq reserves the right to modify these Terms at any time. Changes will be communicated via email or website notice. Continued use after such updates constitutes acceptance.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.
19. Force Majeure
Taatviq shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, internet outages, or governmental actions.
